Terms of Service

These Terms of Service ("Terms") govern your use of the Promethean platform, including our website, web application, API, and automated SMS and voice services (collectively, "Services"), operated by Promethean ("we," "us," or "our"). By accessing or using our Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Description of Services

Promethean provides automated revenue intake tools for field service businesses, including:

• Automated SMS responses to missed inbound calls, including a link to a customer-facing booking form
• A web-based booking form that customers use to submit service requests, including service type, urgency, address, and contact information
• A dashboard for field service businesses to view, manage, and respond to inbound service requests
• Email notifications to business operators upon receipt of new service requests

By using Promethean, you (the field service business) agree to operate these services in compliance with all applicable laws and carrier regulations, including rules governing commercial SMS messaging.

2. Accounts and Eligibility

To use Promethean, you must be a legal business entity or individual of at least 18 years of age. You are responsible for maintaining the security of your account credentials. You agree to provide accurate information during registration and to update it as necessary.

3. SMS Messaging and Customer Consent

Promethean's SMS features are used to send automated messages to individuals who have initiated contact with your business by calling your forwarded business number or by submitting a booking form. By using Promethean's SMS features, you agree to:

• Only send automated messages to individuals who have reached out to your business or submitted a service request form
• Clearly identify your business name in all automated SMS messages
• Provide a way for message recipients to opt out of future messages (e.g., "Reply STOP to unsubscribe")
• Honor all opt-out requests promptly
• Comply with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and all applicable wireless carrier guidelines

Customers who submit service requests through Promethean booking forms explicitly provide their phone number and consent to receive follow-up communications from the field service business regarding their request.

Message and data rates may apply. Message frequency varies based on customer interactions. Customers may reply STOP at any time to unsubscribe.

4. Acceptable Use

You agree not to use the Services to:

• Send unsolicited commercial messages (spam)
• Harass, threaten, or deceive any individual
• Violate any applicable law or regulation
• Impersonate another business or individual
• Transmit harmful, obscene, or fraudulent content
• Attempt to gain unauthorized access to our systems

We reserve the right to suspend or terminate accounts that violate these policies.

5. Data and Privacy

Your use of Promethean is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect and process customer contact information (name, phone, email, address, service description) on your behalf in order to deliver the Services. You are the data controller for information collected through your booking forms; we act as a data processor on your behalf.

6. Fees and Billing

Promethean is offered on a subscription basis. Current pricing is listed at usepromethean.com/#pricing. Fees are charged monthly in advance. You may cancel at any time; cancellation takes effect at the end of your current billing period. We do not offer refunds for partial months.

7. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms. You may cancel your subscription at any time by contacting us at hello@usepromethean.com.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted, error-free operation. We are not responsible for missed messages due to carrier issues, technical failures, or factors outside our control.

9. Limitation of Liability

To the fullest extent permitted by law, Promethean's total liability for any claim arising from your use of the Services shall not exceed the amount you paid us in the three months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a notice in the dashboard. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Mecklenburg County, North Carolina.
